Agreement to Terms

Welcome to kisReviews ("kisReviews", "we", "us" or "our"). kisReviews is a review generation and reputation management platform. Please read these Terms of Service (these "Terms") carefully. By accessing or using our website, purchasing a subscription, or registering for the Services, you enter into a binding agreement with kisReviews and agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.

If you are using the Services on behalf of a business or other entity, you represent that you have the authority to bind that entity to these Terms, and "you" refers to both you and that entity.

Description of Service

kisReviews helps businesses collect and showcase customer reviews. The Services include, among other things: branded review landing pages that link out to your profiles on supported third-party review platforms, dynamic QR codes that direct customers to leave a review, widgets to display reviews on your own website, email and SMS review request campaigns, a design studio for creating shareable graphics, and support for managing multiple business locations.

We may add, change, or remove features of the Services at any time. We will try to give reasonable notice of changes that materially reduce the functionality you rely on.

Accounts

To use most of the Services you must create an account. You agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@kisreviews.com if you suspect unauthorized use of your account.

Subscriptions, Billing, and Trials

Paid Services are billed in advance on a recurring monthly or annual basis through our payment processor, Stripe. New accounts are granted a free trial period of full plan access with no payment method required; if you do not add a paid subscription before the trial ends, your account automatically continues on our free plan rather than being charged. Subscriptions automatically renew at the end of each billing period unless cancelled beforehand. Additional locations or add-ons are billed at the rates shown at the time of purchase.

You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period, and fees already paid are non-refundable except where required by law. If a payment fails, we may suspend access to paid features until the balance is resolved. All fees are exclusive of applicable taxes, which you are responsible for unless we are required to collect them.

Customer Content and Reviews

"Your Content" means logos, images, landing page copy, contact lists, and other materials you upload to the Services. You retain all rights to Your Content, and you grant us a worldwide, non-exclusive, royalty-free license to host, reproduce, display, and transmit Your Content solely to operate and provide the Services to you.

"Review Content" means reviews, ratings, photos, and related information submitted by your customers through the Services. You are responsible for how you collect, display, and use Review Content, including complying with applicable law (such as FTC guidance on endorsements and testimonials) and the terms of any third-party platform you link to or direct customers toward. You must not offer incentives for reviews in a way that violates applicable law or a platform's policies, and you must not selectively solicit or suppress reviews based on anticipated sentiment ("review gating").

Acceptable Use

You agree not to: submit or solicit fake, incentivized in violation of platform policy, or otherwise deceptive reviews; use the Services to harass, defame, or violate the rights of others; attempt to scrape, reverse engineer, or interfere with the Services; use dynamic QR codes or link redirects to distribute unlawful, deceptive, or harmful content; or use the Services in violation of any applicable law.

Third-Party Platforms and Services

The Services link out to third-party review platforms (such as Google Business Profile, Yelp, and other supported review sites) and process payments through Stripe. Your use of those platforms is governed by their own terms and privacy policies. We are not responsible for the availability, accuracy, or policies of third-party platforms, or for any changes they make that affect the Services.

Privacy

Our collection and use of personal information, including Usage Data collected from visitors to the Site, is described in our Privacy Policy, which is incorporated into these Terms by reference.

Intellectual Property

kisReviews and its licensors own all right, title, and interest in and to the Services, including the software, design, and branding, excluding Your Content and Review Content. Except for the rights expressly granted in these Terms, no other rights or licenses are granted to you.

Termination

You may stop using the Services and cancel your account at any time. We may suspend or terminate your access to the Services if you breach these Terms, fail to pay applicable fees, or for other reasonable cause, with notice where practicable. Upon termination, your right to use the Services ends; we will retain Your Content and Review Content for a reasonable period to allow you to export it, after which it may be deleted in accordance with our data retention practices.

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY REVIEW CONTENT OBTAINED THROUGH THE SERVICES WILL BE ACCURATE OR RELIABLE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KISREVIEWS AND ITS DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify, defend, and hold harmless kisReviews and its affiliates, employees, and agents from any claims, losses, damages, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, Your Content, Review Content you collect or display, or your violation of these Terms or applicable law.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Before filing a claim, you agree to contact us at support@kisreviews.com so we can attempt to resolve the dispute informally. Any dispute that cannot be resolved informally will be resolved through binding arbitration on an individual basis, except that either party may bring an individual claim in small claims court.

Changes to These Terms

We may update these Terms from time to time, typically to reflect new features or legal requirements. If we make material changes, we will provide reasonable notice, such as by posting an updated date on this page or notifying you by email. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
